§ 1 Scope

These Terms and Conditions apply to all contracts between Harald Klein (hereinafter "Provider") and users of the YourValidator software (hereinafter "User"). Deviating conditions of the User are not recognised.

§ 2 Subject matter

The Provider makes YourValidator available as a browser-based Marketing Mix Modeling tool. The tool is available in a free basic version and a paid Pro version.

Free version: Free access to all functions - Non-Commercial License.

Pro version: Commercial License - Full Legal Compliance, accessible via license key and Order ID.

§ 3 Contract conclusion and payment processing

The purchase of a Pro license is handled exclusively through the payment provider The purchase of a Pro licence is handled exclusively by the payment provider (Merchant of Record). The payment provider is responsible for the entire payment process, invoicing and tax processing. The contract of sale is concluded with the payment provider as the contracting party.

After a successful purchase, the license key is automatically sent by email. Activation takes place in the tool via the Pro login (top right).

§ 4 License packages and prices

All prices are exclusive of VAT. The payment provider will automatically convert the amount into the local currency.

White-label source code licences for large ‘cross-media cross-sell’ consultancy firms are available on request.

§ 5 Term and cancellation

Annual licences are automatically renewed for a further year unless they are cancelled via the customer portal before the end of the term. You can cancel at any time with a single click via your Digistore24 buyer account or through our support team, effective at the end of the current billing period. No hidden terms, no minimum contract term beyond the period you’ve purchased. You’ll find the cancellation button in your order confirmation email.

§ 6 Right of withdrawal

In accordance with Section 356(5) of the German Civil Code (BGB), there is no right of withdrawal for digital products (software licences) if the user has expressly agreed, prior to completing the purchase, that the provision of the licence key constitutes the start of the performance of the contract and that they thereby forfeit their right of withdrawal. YourValidator grants a 14-day right of withdrawal without the need to provide a reason. Consent is obtained during the checkout process.

§ 7 Rights of Use

The Provider grants the User a non-exclusive, non-transferable right to use YourValidator within the scope of the purchased license package. Use is limited to the number of users specified in the package.

Expressly permitted in the Pro Version: use in client meetings, screenshots, screencasts, explanatory videos, and social media posts.

Not permitted: resale of the software or the license key, reverse engineering, or removal of copyright notices.

§ 8 Availability

YourValidator runs entirely in the User's browser (client-side). Server dependency exists only for the initial license verification and key recovery. The Provider aims for high availability but does not guarantee uninterrupted accessibility.

§ 9 Limitation of liability

The Provider is only liable for intent and gross negligence. For slight negligence, the Provider is only liable for breach of essential contractual obligations (cardinal obligations), and even then only up to the amount of the foreseeable, contract-typical damage.

Liability for the accuracy, completeness or commercial suitability of calculation results is excluded. YourValidator is a simulation tool – not a management consultancy and not a financial service provider.

§ 10 Universities and educational institutions

The Provider makes free Pro licenses available to universities and educational institutions upon request (info@yourvalidator.net). Access is granted following manual review. There is no legal entitlement to a license being granted. The educational license is intended exclusively for teaching and research purposes and not for commercial use.

§ 11 Amendments to these Terms

The Provider reserves the right to amend these Terms with reasonable notice. Existing users will be informed by email. Continued use of YourValidator after the amended Terms come into effect constitutes acceptance.

§ 12 Applicable law and jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for merchants and legal entities under public law is the Provider's registered office.
